Terms & Conditions

Last updated 3 September 2026

Offline is a technology platform that connects the members of a networking community in Abu Dhabi, through the website offline.ae and the Offline members app. Offline provides tools such as discovery, RSVPs, matching and check-in (which it may change or withdraw under section 9) while members and partner businesses organise their own gatherings: Offline is not an organiser, host, promoter or venue, and is not a merchant or payment provider for what you buy from venues, hosts and providers; the only fees you pay Offline are those described in, or notified under, section 5 (see section 3). In these Terms, "Offline", "we", "us" and "our" refer to Offline Technologies FZ-LLC (licence no. [●]), a company incorporated in the Masdar City Free Zone, Abu Dhabi, United Arab Emirates, with its registered office at [●], which operates the website and the app; "you" refers to you as a member or applicant. Where you use Offline for a business you own or represent, you confirm you have authority to bind that business and these Terms bind it as well as you.

1. Accepting these Terms

By requesting membership, creating an account, or using the Offline website or app, you confirm that you are at least 18 years old and that you accept these Terms, our Privacy Policy and our Cookie Policy. If you do not agree, please do not use Offline. We record the version you accepted and when. Changes to these Terms are handled under section 11.

2. Membership

Offline is a curated, membership-based community. We may accept or decline any application at our discretion; curation is about relevance to the community and is not vetting, verification or endorsement of any member. We may pause or end a membership where section 10 allows. Only if we end a paid Premium membership for our own convenience (that is, not for your breach, not while a report about you is under investigation, and not to protect members, venues, hosts or Offline) do we credit or, at our option, refund the unused part of the current period pro rata; that is the only refund owed. You agree to give accurate information about yourself and to keep it up to date. Your account is personal to you — please don't share your sign-in link or check-in QR with anyone else. You are responsible for activity on your account until we have received your notice that it has been compromised and have had a reasonable time to act. One person, one account: a business that wants to reach members applies for a business account under the Host Terms or Linker Terms.

3. Events & conduct

Offline is a platform. Members discover venues, form groups, and RSVP to nights and activities hosted at third-party venues or started by other members; you show your QR at the door to check in. You pay your own costs directly to the venue — your drink, your court, your share. Anything you find or arrange through Offline you attend at your own risk, and it takes place between you, the other members and the venue, not with Offline as host or organiser. We may add, change or remove any listing at any time, for any reason or none, without liability to you. Gatherings take place at third-party premises under the venue's own rules, and in the United Arab Emirates; the venue alone is responsible for its licensing. You are responsible for your own conduct, for complying with the law and the venue's rules (including those on age and alcohol), and for your own safety and belongings.

Offline is a technology platform only. Offline provides the app and website that let members find each other and arrange their own activities. It is not an organiser, host, promoter, agent or venue, and it is not a merchant or payment provider for anything you buy from a venue, host, provider or other member. In particular:

Member-organised events and plans. Where you start an event, a plan, a padel pool or a Pairing, you do so as a member bringing people together, not as an agent, employee or representative of Offline, and not as a professional organiser. Starting a gathering does not make you responsible for the other people who join it. You are responsible only for your own conduct, for the accuracy of what you post about the gathering, and for any commitment you personally make to a venue or provider on the group's behalf.

Each member attends at their own risk. Every member who joins a gathering is responsible for their own wellbeing, safety, decisions, belongings and conduct, for judging whether an activity (a sport, a drive, an outdoor trip, a night out) is suitable for them, and for their own insurance. Offline is not responsible for any injury, loss or damage arising at or from a gathering, however caused (see section 9). As between members, the member who started the gathering is not responsible for injury, loss or damage that results from the inherent risks of the activity, from another member's acts or omissions, from the venue or from a third-party provider, and each member agrees not to bring a claim against the member who started a gathering except for that member's own deliberate or negligent act; a member who started a gathering may enforce this sentence (see section 14).

Hosted sessions are different. A hosted session is run by a business under the Host Terms. The host is responsible for running the session safely and as described, for its venue, equipment, staff, permits and insurance, and for its own acts and omissions, in the same way as any business providing that service; inherent risks of the activity and your own decisions remain yours. The host's obligations to you are those in the host's own terms and the law; Offline makes no representation about them and does not secure their performance. The host is responsible to you directly, under its own terms, and not Offline: Offline is not responsible for any act or omission of a host, including a host's negligence, and you release Offline from all liability in connection with a hosted session to the fullest extent section 9 allows.

Indemnity to Offline. As between you and Offline, you agree to indemnify and hold Offline harmless against any claim, loss, cost, expense or liability that is caused by your own act, omission or breach of these Terms in connection with a gathering you start or attend.

Offline's role. Offline's role is limited to operating the platform: we provide the tools to list, discover and join gatherings, and we may, but are not obliged to, moderate, and may review, edit, hide, suspend or remove any listing, member content or member to keep the community safe and relevant. We do not organise, run, host, supervise or accept responsibility for members' gatherings, and exercising these moderating powers does not make us the organiser of, or responsible for, any gathering.

Plans are free to attend — no charging members. A plan may share genuine out-of-pocket costs among those taking part (for example a court booking or a shared table, at cost), but it may not be used to charge other members, sell tickets or seats, or promote, market or operate a commercial activity of any kind. Paid or ticketed experiences must be run as hosted sessions by an approved partner under the Host Terms, where members knowingly book and pay the host directly. If a plan is used to charge members, we may remove it without notice, and the organising member is liable, on demand, as agreed compensation for the fee Offline would otherwise have earned, to (i) refund any amounts charged to members through or in connection with the plan (Offline may require that refund but owes no member any obligation to procure it), and (ii) pay Offline the fees that would have applied had the activity been run properly as a hosted session, together with a reasonable administration fee. We may also suspend or remove the organising member, without refund or compensation (see section 10).

Cancellations. Most gatherings carry no cancellation charge from Offline. Leaving a padel pool, a matched four or a plan is free; where members have already paid a third party (a court, a table, a deposit), recovering or splitting that cost is between the members taking part and that provider. Hosted sessions are booked with the host: cancellation and any refund are governed by the host's own terms. An event you start for a venue night can be cancelled in the app only up to five business days before it takes place, because that is the notice Offline has agreed to give the venue; after that the night goes ahead. If a venue night is cancelled you owe nothing: anything that follows is a matter between Offline and the venue under the Host Terms. No-shows and unpaid shares. If you join a gathering, you are expected to turn up, where applicable to pay your agreed share of any cost the group has committed to (a court, a table, a deposit) when it is due, and, if you can no longer make it, to leave the gathering in the app so your place can go to someone else. A member who fails to do so can be reported in the app by the members taking part. Offline may review reports and may warn, suspend or remove a member who repeatedly fails to show or to pay. Offline does not collect, advance, guarantee or recover any such share, is not responsible for it, and does not decide disputes about it; the report is a community measure, not a claim against Offline, and any recovery is between the members concerned.

Bookings for member-started gatherings. Offline does not book, reserve or commit to any venue, court, room or provider on behalf of a member-started gathering, and does not pay or guarantee any deposit, minimum spend or cancellation charge for one. If you, as the member who started a gathering, arrange a booking with a venue or provider for it, that booking is your own contract with them: its price, deposit, cancellation terms and any charge for cancellation or no-show are for you and the venue or provider to agree, and any reimbursement, sharing of the cost with the members taking part, or dispute about it is between you, them and the venue or provider. Offline is entirely outside that arrangement: it has no liability for it, and you release and hold Offline harmless in respect of it (see section 9). Offline may suspend or remove members who repeatedly cancel late or fail to attend.

Padel & third-party bookings. Padel is arranged by matching members of the same level; once four are matched, they book and pay for the court directly with a third-party provider of their choice (such as Playtomic). Those bookings and payments are between the members and that provider — Offline does not take the booking, process the payment, or hold any funds. In particular, if a matched member does not show up, Offline accepts no liability for any advance payment made to Playtomic or any other provider by any member; recovering, splitting or refunding such costs is a matter between the members and the provider. Playtomic and any other provider named in the app or on this site are independent third-party services: Offline is not affiliated with, sponsored or endorsed by them, references to them are for members’ convenience only, and their names and marks belong to their respective owners.

We expect members to be respectful, honest and generous, to keep conversations off the record, and not to harass, pressure or mislead other members. We may remove anyone who doesn't. You can report a member, post or plan from inside the app; we may review reports and may share information with a venue, host or the authorities where safety or the law requires it.

Business accounts and commercial solicitation. Accounts operated for a business — a startup, an F&B venue, or a firm in the Linker pool — reach the room only through the channels built for that: hosted sessions, venue nights, perks, and Linker. Using membership features — the directory, connection requests, event or plan threads, or any other feature — to send unsolicited promotion, mass outreach or marketing to members is prohibited, whether by a business account or by any member acting on a business’s behalf. Members can report this conduct in the app, and Offline may suspend or remove the offending account at its discretion, without notice, refund or compensation (see section 10).

Inside the app you can connect with other members, send and accept connection requests, and view other members' profiles. Treat other members' information as private to the community — use it only to connect within Offline, and don't export, copy or reuse it elsewhere. The app may also send you service messages and, if you enable them, push notifications; you can turn notifications off at any time in the app or your device settings.

Photos and recordings at gatherings. Offline, a venue or a host may take photos or short videos at gatherings to show the community what happens at them. For photos taken by Offline, you can tell the photographer, or email us, that you do not want to appear, and Offline will not use an image in which you are identifiable for marketing without your consent; venues and hosts photograph under their own policies and are responsible for them. Members must not record other members' conversations or share another member's image or details outside the community without that member's consent.

Hosted (branded) sessions. Businesses approved by Offline for listing (approval is not vetting, verification or endorsement) may host sessions under their own brand, shown under Hosted in the Events tab. These are always labelled (“Hosted by”), and when you join one you book and pay the host directly, on the host’s own system and under the host’s own terms — Offline does not take the booking, process the payment, or hold any funds, and is not a party to your contract with the host. Any cancellation, refund or dispute concerning a branded session is a matter between you and the host, and the host's own booking terms (which you should obtain from the host before you book) govern it. Hosts accept separate Host Terms with Offline, which give you no rights against Offline; Offline does not organise or run branded sessions, does not guarantee that any session takes place or how many members attend, and accepts no liability in connection with one. This includes any injury, loss or damage caused by the host's negligence or breach: your recourse is against the host, and you release and hold Offline harmless accordingly (see section 9).

Linker & Asks. In the app’s Online section, Premium members can browse Linker, a directory of independent providers — companies, firms and individuals — who offer introductions, mentoring and access. A provider quotes a fee in the app and you accept or decline it. If you accept, you engage that provider directly, on the provider’s own terms, and you pay the provider directly: Offline is not a party to that engagement, does not provide the service, does not handle the money, does not verify the provider’s licences, and does not endorse or recommend anyone by listing them. Providers may pay Offline a listing fee and a percentage of the fee you accept, which does not make Offline part of your engagement. Offline does not promote, arrange, advise on or solicit any investment, and nothing in the app is an offer of securities or a financial promotion. Investors and business angels listed in Linker do not quote fees, and Offline takes no fee calculated by reference to any capital raised. Any dispute about an engagement is between you and the provider. The Linker Terms also apply to you: they are published at offline.ae/linker-terms, you should read them before you accept a quote, and you accept them in the app when you do. If for any reason they do not bind you, section 9 of these Terms applies to anything connected with Linker.

Asks between members. In Asks, a Premium member may also put a request to the room rather than to the Offline desk. An ask is visible to Premium members only, and any member who can help opens a private one-to-one conversation with the person who asked. Help offered this way is given member to member: Offline does not provide, vet, verify or endorse it, is not a party to it, and takes no fee for it. You are responsible for what you post and for what you agree with another member; if that turns into a paid engagement, it is a matter between you and them, on whatever terms you agree, and, to the fullest extent permitted by law, you release Offline from, and indemnify and hold Offline harmless against, any claim, loss, cost or liability arising out of or in connection with any Ask, any help given or received through one, and any engagement that follows. Personnel of businesses listed in Linker may not use Asks, or a personal member account, to circumvent the fees agreed with Offline under the Linker Terms.

4. Member offers (Perks)

Members and partner businesses may post discount offers ("Perks") to other members. Each offer is provided by the member or business making it, not by Offline. We don't sell those goods or services, we don't guarantee any offer, and we're not responsible for whether an offer is honored or for any dealings between you and the provider. Using an offer is a matter between you and the provider. Offline may, but need not, screen a Perk before it goes live for relevance and tone; any screening is not review, verification or endorsement of the offer.

If you post a Perk, you do so as its provider and are solely responsible and liable for it — including that the offer is accurate, lawful, and honoured on the terms you state. As between you and Offline, you are liable for all matters arising out of or in connection with a Perk you post, and you agree to indemnify and hold Offline harmless against any claim, loss, cost, expense or liability arising from it. If you use a Perk, you deal with the provider at your own risk, and to the fullest extent permitted by applicable law you release Offline from any liability arising out of or in connection with that Perk or your dealings with the provider. You also indemnify and hold Offline harmless against any claim arising from your use of a Perk or your dealings with the provider.

5. Payments

Membership tiers. Joining Offline is free, and free members are full members. We also offer an optional paid Premium membership; where it is available to you, its price, billing period and applicable VAT are shown before you pay, payment is taken by our payment provider (Offline never sees or stores your full card details), and you may cancel at any time — your Premium access then continues until the end of the period you have paid for. Except where section 2 provides for a refund, cancelling does not entitle you to any refund or pro-rata reimbursement of the latest fee paid, or of any part of it — whether that fee was for the first quarterly term or for a monthly renewal: the fee for the current period remains earned in full, and your access simply runs to the end of that period. Premium begins with a first quarterly term; after that first quarter it continues month to month unless cancelled. Before you pay we show you the price, the length of the first term, the monthly price that follows and how to cancel; you can cancel in the app under Profile → Premium → Manage membership at any time before the renewal date. If a renewal is missed, Offline may, at its discretion, allow a short grace period after which access closes; rejoining after a lapse begins a new first quarterly term. Where a member reaches out about a missed payment within 30 days of it falling due, Offline may, at its sole discretion, restore the monthly continuation backdated to cover the missed period. Price changes apply only from your next renewal and only after at least 30 days' notice by email; if you do not want the new price, cancel before it takes effect. Premium changes what is available to you within the app; it does not make Offline the organiser of, or responsible for, any gathering.

What Premium buys — and what it does not. Premium buys access and priority: entry to the Linker directory, the ability to request a quote (including open "Asks" put to the Offline desk, which Offline may forward to one or more listed providers in the relevant category (forwarding is not a recommendation); any resulting quote and engagement follow the same rules), access to gatherings reserved for Premium members (including member- or host-run pitching sessions and the Pairing), priority on waitlists when a gathering is oversubscribed, one hosted-session listing fee and one Perk posting fee waived each month, and the tools to work the room, in each case subject to availability and to the capacity of the venue or host and without entitlement to any particular gathering, seat, session or Perk. It does not buy an outcome. Offline gives you the opportunity to meet people who may invest in your business, become your co-founder, CTO or CFO, advise you, bank you, or work with you — none of which is guaranteed, promised or capable of being guaranteed by Offline. Offline does not guarantee that any investor will invest, that any introduction will be made, accepted or lead anywhere, that any Linker will accept your request or deliver a result, that a Pairing will produce a co-founder or a hire, that any particular person will attend a gathering, or that any capital will be raised. No statement on our website or app, and nothing said by anyone at Offline, is a representation or warranty that any such outcome will occur, and you should not treat any of it as one. Fees are for the access described, are not refundable on the basis that an outcome did not occur, and are payable whether or not you use what your membership makes available. Nothing in this section limits any right you have as a consumer under UAE law that cannot be excluded by agreement.

Separately, Offline does not process or collect any payment between you and a venue or provider — you pay those costs directly to the relevant venue or provider. If further paid features are introduced in the future, we will tell you and provide the applicable payment terms before you are charged. All prices are in UAE dirhams; where a price is shown as including VAT, that is the total you pay. Card payments are processed by our payment provider under its own terms; Offline does not receive or store your full card details.

6. Membership data & insights

As described in our Privacy Policy, Offline produces aggregated, anonymized insights about the membership as a whole and may share or sell these insights to partners and other third parties as part of our business. These are only ever group-level statistics; they are designed not to include your personal information or to identify you individually. We do not sell your personal data. You can ask us to exclude your data from these insights at any time (see the Privacy Policy). We handle your personal data in line with the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021) and, where you are in the EEA or UK, the GDPR, as set out in our Privacy Policy. The ADGM Data Protection Regulations do not apply to Offline, which is not established in the ADGM; the choice of ADGM law in section 12 does not change that. References to the GDPR apply only to the extent the GDPR in fact applies to Offline.

7. Acceptable use

Perks, plans, replies and other member-generated content must be professional and relevant to the network. We may remove any post or content — and may suspend or remove any member — that contains offensive language, non-professional or personal solicitations, spam, or anything that doesn't fit the purpose of the community, at our discretion.

8. Intellectual property

The Offline name, the Offline logo, the website and the app, and all of their content, design, layout, text, graphics, code and overall "look and feel", are owned by Offline or our licensors and are protected by copyright, trademark, database and other intellectual-property rights. © Offline. All rights reserved. "Offline" and the Offline logo are trademarks of Offline, and all rights in these marks are reserved. Nothing in these Terms transfers any intellectual-property right to you.

We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the website and app only as a member and for their intended purpose. Except as this licence expressly allows, and except to the limited extent that mandatory law says otherwise, you must not — and must not permit or assist anyone else to:

We reserve all rights not expressly granted, and will enforce our intellectual-property rights to the fullest extent available under applicable law.

You keep ownership of the content you post — such as Perks, plans and replies — and of the feedback you send us. By posting content in Offline, you grant us a worldwide, royalty-free, non-exclusive licence (with the right to sub-license to the service providers that host and run the app) to host, store, reproduce, adapt for display and display it to run, promote and improve the community for as long as it is on the platform, and afterwards in backups, in anonymised aggregated form and in any material already made using it while it was on the platform; you're responsible for what you post, confirm you have the right to share it (including any photo or logo), and agree that we may remove it under section 7. Any feedback or suggestions you send us, we may use freely to operate and improve Offline, with no obligation to you.

9. No guarantees & liability

Offline is provided "as is" and "as available", and we don't guarantee any particular introductions, opportunities or outcomes from membership, from any gathering, from Linker, from the Pairing, or from pitching to investors — whether you are a free or a Premium member. We don't guarantee that the website or app will be uninterrupted, error-free or always available; they may be taken offline for maintenance or updates, and we may change, suspend or discontinue any feature, or the service itself, at any time without notice or liability. To the fullest extent permitted by applicable law, Offline excludes all liability to you arising out of or in connection with your membership, your use of the website or app, the events, member offers (Perks), or the conduct of any member, partner or third party — whether in contract, tort (including negligence), or otherwise. To the extent any liability cannot be excluded, our total aggregate liability to you — for all claims arising out of or in connection with Offline — is limited to the membership fees you paid to Offline in the 12 months before the event giving rise to the claim or, if you paid none, AED 1,000 (one thousand UAE dirhams); claims concerning Linker are subject to the cap in the Linker Terms, and claims by a host or Linker in that capacity to the cap in the Host Terms or Linker Terms. Offline is not liable for any indirect or consequential loss, or for loss of profit, business, opportunity, goodwill or data, however arising.

No advice. Nothing on the website or app, and nothing said by Offline, a member, a host, a venue or a provider through Offline, is legal, financial, tax, investment, medical or other professional advice, and Offline does not check it. Anything you decide to do on the strength of it is your own decision, taken at your own risk; take independent advice before you rely on it.

Time limit for claims. To the fullest extent the law permits, any claim against Offline arising out of or in connection with these Terms or your use of the platform must be started within 12 months of the event giving rise to it; after that it is barred.

Events outside our control. Offline is not liable for any failure or delay in providing the platform or any feature, or for any gathering not taking place, caused by events outside its reasonable control, including failures of hosting, payment or telecommunications providers, government action, weather, epidemic or the acts of venues, hosts, providers or members.

You acknowledge that Offline acts only as a technology platform that connects members, venues and providers, and not as an organiser, host, promoter, supervisor, employer, agent or party to any event, plan, Perk, introduction, or to any dealing between members, or between you and any venue, provider or other third party. To the fullest extent permitted by applicable law, you waive, release and discharge Offline and its owners, officers, employees and agents from any and all claims, demands, damages, losses, costs and liabilities of every kind — whether known or unknown, present or future, and whether in contract, tort (including negligence), statute or otherwise — arising out of or in connection with any event, plan, Perk, introduction or venue, or the acts or omissions (including negligence) of any member, organiser, host, provider, venue, Linker or other third party, or any gathering, hosted session, padel match, Pairing, Ask, booking, Linker engagement or other use of the platform, and you agree to hold Offline harmless from any such claim. You also agree to indemnify and hold Offline harmless against any claim, loss, fine, cost or liability arising from your breach of these Terms, your content, your misuse of other members' information or your unlawful act. Where you organise an event, plan or Perk, this is in addition to your obligation to indemnify and hold Offline harmless as set out in clauses 3 and 4.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law — for example, liability for death or personal injury caused by our negligence, for fraud, or for our gross negligence or wilful misconduct. Where such liability cannot lawfully be excluded, it is limited to the minimum the law allows, and any waiver, release or exclusion in these Terms applies only so far as the law permits. If you are a consumer, these Terms do not affect any right you have under Federal Law No. 15 of 2020 on Consumer Protection or other UAE law that cannot be excluded by agreement.

10. Suspension & ending membership

You may stop using Offline at any time. You can permanently delete your account and personal data yourself, at any time, in the app under Profile → Edit → Account → "Delete my account" (except records we must or may lawfully keep, as set out in the Privacy Policy), or ask us to close your account by emailing info@offline.ae. We may suspend or end your membership if you breach these Terms, if a report is under investigation, or where we reasonably consider it necessary to protect members, venues, hosts or Offline, and may otherwise end it at our discretion on 30 days' notice. We may tell you why and give you a chance to respond. Sections 3 to 14 survive the end of your membership so far as relevant, as do any fees or charges accrued before it ended.

11. Changes

We may update these Terms from time to time. We'll post the current version here with a new "last updated" date. For changes that reduce your rights or increase your obligations or the price we give you at least 30 days' notice by email or in the app; for a Premium member those changes take effect from the first renewal date after the notice period, so the period you have already paid for is unaffected, and you may cancel before that date if you do not accept them. Other changes (corrections, new features, clarifications) take effect when posted. The version you accepted applies until then.

12. Governing law & jurisdiction

Governing law. These Terms, and any dispute or claim arising out of or in connection with them, their subject matter or formation (including non-contractual disputes or claims), are governed by and construed in accordance with the laws in force in the Abu Dhabi Global Market (ADGM), including the English common law and statutes applied in the ADGM by the Application of English Law Regulations 2015, without regard to any conflict-of-laws rule that would apply a different law. Jurisdiction. Offline is not established in the ADGM. The parties agree in writing, for the purposes of Article 13 of Abu Dhabi Law No. 4 of 2013 (as amended) and the ADGM Courts, Civil Evidence, Judgments, Enforcement and Judicial Appointments Regulations 2015, that the ADGM Courts (including, where the value of the claim permits, the Small Claims Division of the Court of First Instance) have exclusive jurisdiction to hear and determine any such dispute or claim, whether or not either party has any other connection with the ADGM, and each party irrevocably submits to that jurisdiction and waives any objection to it. Proceedings are conducted in English. Consumers. If you are a consumer, nothing in this section deprives you of the protection of any provision of UAE law that applies to you and cannot be excluded by agreement, or prevents you from making a complaint to a competent consumer-protection authority. Fallback. If, and only to the extent that, a court of competent jurisdiction finally determines that ADGM law cannot govern a particular matter or that the ADGM Courts cannot hear a particular claim, that matter or claim is governed by the federal laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi and the courts of Abu Dhabi have jurisdiction over it; the rest of this section is unaffected.

13. Contact

Questions about these Terms? Email us at info@offline.ae. Offline is Offline Technologies FZ-LLC (licence no. [●]), a company incorporated in the Masdar City Free Zone, Abu Dhabi, United Arab Emirates, with its registered office at [●]. Notices to Offline must be sent to that address or to info@offline.ae; notices to you are sent to the email address on your account and take effect when sent.

14. General

These Terms, the Privacy Policy, the Cookie Policy and, where they apply to you, the Host Terms and Linker Terms are the entire agreement between you and Offline about the platform. If any provision is held unenforceable it is severed and the rest continues in force, and any exclusion or limitation is read as reduced to the extent enforceable rather than struck out. You may not assign or transfer your membership; Offline may assign or transfer these Terms to any person that takes over the platform or its business. The words "partner" and "partner business" are used in their everyday marketing sense and do not mean a legal partnership. No delay in enforcing a right waives it. Nothing in these Terms creates a partnership, agency or employment relationship between you and Offline. Only you and Offline (and, for sections 3, 4 and 9, Offline's owners, officers, employees and agents, and, for the sentence in section 3 on claims against a member who started a gathering, that member) may enforce these Terms. These Terms are published in English. Offline may also publish an Arabic translation for convenience. The English version governs: if there is any difference or conflict between the English version and any translation, the English version prevails and these Terms are interpreted and enforced by reference to it.
